Terms of Service

Welcome to Firebird One. These Terms of Service ("Terms") govern your use of our managed IT and cybersecurity services. By accessing or using our services, you agree to be bound by these Terms.

Agreement Overview

These Terms constitute a legal agreement between you, the Client ("Client" or "You"), and Firebird One ("Firebird One", "We", "Us", or "Our").

1. Acceptance of Terms

By signing a Service Agreement, Statement of Work (SOW), or otherwise utilizing any services provided by Firebird One, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use our services.

2. Description of Services

Firebird One provides a range of managed IT and cybersecurity services, which may include, but are not limited to:

  • Managed IT Infrastructure: Monitoring, maintenance, and support for servers, networks, and endpoints.
  • Cybersecurity Solutions: Threat detection, vulnerability management, compliance assistance, and security awareness training.
  • Cloud Services: Migration, optimization, and management for cloud platforms (AWS, Azure, Google Cloud).
  • Help Desk Support: Remote and on-site technical assistance for end-users.
  • Backup & Disaster Recovery: Data protection, automated backups, and business continuity planning.
  • IT Consulting & Strategy: Strategic technology planning, vendor management, and project oversight.

Specific services provided to the Client will be detailed in a separate Service Agreement or Statement of Work (SOW).

3. Client Responsibilities

Client agrees to:

  • Provide Firebird One with accurate and complete information, access, and cooperation necessary for the provision of services.
  • Ensure proper licensing for all software used on their systems.
  • Adhere to all security policies and recommendations provided by Firebird One.
  • Maintain a reliable internet connection and power supply for all supported equipment.
  • Promptly notify Firebird One of any changes to their IT environment or any suspected security incidents.

4. Service Fees and Payment

Fees for services will be outlined in the applicable Service Agreement or SOW. Client agrees to pay all invoiced amounts by the due date specified. Late payments may incur interest or suspension of services as per the Service Agreement.

5. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary or confidential information obtained from the other party during the course of providing or receiving services. This obligation shall survive the termination of services.

6. Data Security and Privacy

Firebird One is committed to protecting Client data. We will implement reasonable technical and organizational measures to secure Client data. However, Client acknowledges that no security system is impenetrable. Firebird One's data privacy practices are further detailed in our Privacy Policy.

7. Warranties and Disclaimers

Firebird One warrants that services will be performed in a professional and workmanlike manner. EXCEPT AS EXPRESSLY PROVIDED HEREIN, FIREBIRD ONE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

IN NO EVENT SHALL FIREBIRD ONE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. FIREBIRD ONE'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL IN NO EVENT EXCEED THE AMOUNT PAID BY YOU TO FIREBIRD ONE FOR THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Termination

Either party may terminate the Service Agreement as per the terms outlined within that agreement. Upon termination, Client shall pay all outstanding fees for services rendered up to the date of termination.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Battle Ground, Washington.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms for causes beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

12. Amendments

Firebird One reserves the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website or through other reasonable means. Your continued use of the services after such modifications constitutes your acceptance of the revised Terms.
